Terms of use

Effective October 8, 2026

These terms govern your use of bryllyant.com (the "site"), which Bryllyant, Inc. ("Bryllyant", "we", "us"), a Delaware corporation, operates. By using the site, you agree to them. If you use it for a company or another organization, you agree to them for it, and you confirm that you may.

They cover the site only. When we work for a client, a written agreement between us governs the work, and it prevails over these terms. Our text messaging program, XipID Verification Messages, has its own terms, in section 13. Bryllyant Console, the internal tool we use with our own QuickBooks company, has its own license agreement.

1. Using the site

You may use the site to learn about Bryllyant and to contact us, for yourself or for your organization. Please don't:

  • use it to break the law, or anyone's rights;
  • try to reach parts of the site or our systems that aren't public, or test their security without our written permission;
  • disrupt or overload the site, including by sending automated or bulk messages through its forms;
  • copy the site by automated means, other than as a search engine that follows our robots.txt file;
  • pretend to be someone else, or send anything harmful, such as malware.

2. What the site says

The site describes our services in general terms. It isn't an offer, a promise, or professional advice, and it may change. Our use cases describe particular clients' work, and don't predict yours. The scope, timing, price, and terms of any work are set only in a written proposal and agreement.

3. What you send us

The Bryllyant Privacy Policy says how we handle personal information. Anything else you send us, through the site or by email, isn't confidential until a nondisclosure agreement or another written agreement between us says it is, so please keep confidential details until one is in place. If you send us ideas or suggestions, we may use them without any obligation to you.

4. Our content and trademarks

Bryllyant owns the site and its content, including its text, design, drawings, and logos, or uses them with permission. You may view and print its pages for your own use or your organization's internal use, and share links to them. Anything more, such as copying or republishing them, needs our written permission.

Other companies' names and logos belong to their owners. Showing them doesn't mean those companies endorse us. Our Attributions page carries the notices they ask for.

If you believe something on the site infringes your copyright, tell us at legal@bryllyant.com, and we'll look into it.

5. Other sites

The site links to sites we don't control. We aren't responsible for their content, their practices, or their availability, and a link isn't an endorsement.

6. No warranties

The site is provided "as is" and "as available". To the extent the law allows, Bryllyant disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that the site will be accurate, complete, always available, or free of errors or harmful components.

7. Limitation of liability

To the extent the law allows, Bryllyant isn't liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from the site or these terms, even if we were told such damages were possible. Our total liability for all claims arising from the site or these terms is one hundred US dollars.

Some places don't allow these limits, so some may not apply to you. They don't change what a separate written agreement with us says.

8. Your responsibility

If your misuse of the site, or your breach of these terms, leads to a claim against Bryllyant, you'll cover our reasonable costs of it, including lawyers' fees, to the extent the law allows.

9. Governing law and courts

The laws of the State of Delaware govern these terms, without regard to their conflict-of-laws rules. The state and federal courts located in Delaware will decide any dispute arising from the site or these terms, and you and Bryllyant both agree to their jurisdiction.

10. Disputes

If you have a concern about the site or these terms, please write to us first at legal@bryllyant.com. We'll try to resolve it with you before either of us goes to court.

11. Ending your use

We may suspend or end anyone's access to the site at any time, for example to stop misuse. Sections 3, 4, and 6 to 10 continue to apply afterward.

12. Changes, general terms, and contact

Changes. We may change these terms. We'll post the new version here with its effective date, and using the site after that means you accept it. The current version is always at bryllyant.com/legal/terms/.

The whole agreement. These terms and the Bryllyant Privacy Policy are the whole agreement between you and Bryllyant about the site. A separate written agreement with us governs what it covers.

The rest. If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You may not transfer these terms; we may transfer them with our business.

13. SMS Messaging Terms

Program name. XipID Verification Messages, operated by Bryllyant, Inc.

Program description. Bryllyant operates XipID, a verification service that businesses use to confirm that a request on a customer's account is genuine and that the customer agrees to it. When a business that uses XipID needs your confirmation, XipID sends you one text message. That message names the business, carries a single link to a page where the request is shown in full, and tells you when the link expires. You approve or decline on that page. XipID never asks you to reply by text, and it never puts account details in the message itself.

Who receives these messages. Only people who gave their mobile number to a business that uses XipID, in the course of their relationship with that business, and who agreed to be contacted about account activity. Bryllyant does not build or buy lists, and sends nothing to a number that such a business has not identified.

Message frequency. These messages are transactional. One message is sent for one request, only when a business starts that request. There is no recurring schedule and no set number of messages. Message frequency varies. If no request is made, you receive nothing.

Message and data rates. Message and data rates may apply. Your mobile carrier's standard rates apply to each message you send or receive. Bryllyant does not charge you for these messages.

How to stop messages. Reply STOP to any message from this program to stop all further messages to your number. CANCEL, QUIT, OPTOUT, UNSUBSCRIBE, STOPALL, REVOKE and END work the same way. You will get one confirmation: "You have successfully been unsubscribed. You will not receive any more messages from this number. Reply START to resubscribe." Nothing is sent to that number afterward. Stopping these messages may leave you unable to confirm requests a business asks you to approve, so ask that business what other ways it offers.

How to start again. Reply START, YES or UNSTOP.

How to get help. Reply HELP or INFO to any message and you will receive: "Reply STOP to unsubscribe. Msg&Data Rates May Apply." For anything else, write to legal@bryllyant.com.

Customer support. Write to legal@bryllyant.com for help with this messaging program.

Carriers. Carriers are not liable for any delayed or undelivered messages.

Privacy. What Bryllyant collects and how it is used is set out in the Bryllyant Privacy Policy. Information collected to carry out an XipID verification is used for that verification. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.
